Cross Border M&A; Private Equity


Daniel's practice is global in nature and focuses on domestic and international matters in all areas of corporate finance, private equity, mergers and acquisitions, joint ventures, and securities law. Daniel regularly represents and provides general corporate and securities law advice to publicly and privately held entities ranging in size from start ups to those with established multi-national operations and has advised on joint ventures and partnership structures in over 20 countries. Daniel has served as a both an officer and director of Canadian and U.S. publicly listed companies.


Representative transactions include:


- Represented a publicly listed U.S. company in its $380 million acquisition of two unrelated Canadian manufacturing companies;


- Represented Falcon Oil & Gas Ltd., in connection with its $1,141 million joint venture with Exxon Mobil Corporation and MOL Hungarian Oil and Gas Plc;


- Represented Falcon Oil & Gas Ltd., in its acquisition from PetroHunter Energy Corporation of a 50 percent working interest in a seven million acre oil & gas prospect in Australia and the negotiation of production and development agreements as well as joint operating agreements for the production and development of these oil and gas properties;


- Represented an Ontario co-operative with more than 840 members in the completion of the financing necessary to design, develop, build and operate a 150 million litre ethanol production facility in Ontario. A senior credit facility in excess of $380 million was provided by a syndicate of lenders;


- Represented a private Canadian company in its $190 million investment in a Chinese Joint Venture Company;


- Represented numerous publicly listed companies in connection with equity and debt financings;


- Represented numerous publicly listed companies in connection with their continuous disclosure obligation, board governance, shareholder rights and takeover bid matters;


- Represented numerous broker dealers and underwriters in connection with public and private equity and debt financings.

- 2004 to 2014 – Partner, and member of the Corporate Finance Group, at Aird & Berlis LLP, Toronto, Canada (rated one of the top 20 firms in Canada).

- 2000 to 2004 – Partner, at Beach Hepburn LLP.

- 1989 to 1991 – Israel Defense Forces, served as a combat soldier in the tank division.
